Welcome to SuspireX. By accessing our Master Catalog, initiating API handshakes, or utilizing our physical fulfillment nodes, you agree to be bound by these comprehensive Terms of Service.
1. Acceptance of Enterprise Architecture
By registering a Merchant Node on the SuspireX platform, you electronically consent to these terms. If you are integrating on behalf of a corporate entity, you represent that you hold the cryptographic or legal authority to bind said entity to this agreement. Unauthorized usage of the SuspireX REST API endpoints is strictly prohibited.
2. Master Sourcing Hub Access & Accuracy
SuspireX grants you a limited, non-exclusive, revocable license to query our Master Sourcing Catalog. While we employ rigorous cleansing algorithms to format titles and preserve manufacturing specifications, SuspireX does not warrant that product descriptions are entirely error-free. Merchants are solely responsible for ensuring the legality of selling specific imported items within their target jurisdictions.
3. KYC & Account Provisioning
To execute fulfillment, merchants must provide valid KYC (Know Your Customer) data, including verifiable email addresses, phone vectors, and, where applicable, VAT or EU IOSS strings. We reserve the right to suspend any node exhibiting fraudulent API behavior or generating anomalous chargeback ratios.
4. Secure Manual Wallet Mechanics
SuspireX operates on a strict Pay-As-You-Go (PAYG) wallet infrastructure. Merchants must preemptively load capital via approved channels (Wire Transfer, JazzCash). SuspireX acts merely as a custodian of these funds until an API fulfillment trigger is received. Section 4.1: In the event of a negative ledger balance, API integrations will immediately halt outbound pushes until capital is restored.
5. API Handshake & Store Integrations
Integration with Shopify and WooCommerce requires the provisioning of dedicated Consumer Keys and Secrets. SuspireX employs AES-256 encryption to store these vectors. Merchants assume all liability for data breaches occurring on their native storefronts that result in the generation of erroneous fulfillment payloads sent to the SuspireX hub.
6. Delivered Duty Paid (DDP) Liabilities
SuspireX utilizes DDP logistics to ensure end-customers receive packages without customs interference. However, merchants must accurately provide their EU IOSS (Import One-Stop Shop) string for European shipments. Section 6.1: Failure to provide a valid IOSS string transfers all financial liability for border rejection, return shipping, and import tariffs directly to the merchant's ledger.
7. Custom Branding & Material Production
Merchants elevated to the 'Branding Lite' or 'Branding Pro' tiers may submit custom vector graphics for label and tape production. SuspireX claims no ownership over your intellectual property. By uploading assets, you grant SuspireX a mechanical license to print and affix these assets to your outgoing parcels. Base production costs ($30 per 10 tape rolls) are non-refundable once printing commences.
8. High-Performance Order Storage (HPOS) Syncing
SuspireX utilizes modern asynchronous polling to pull orders from your store. We guarantee 99.9% uptime for the API listener. SuspireX is not responsible for missed fulfillments caused by third-party hosting downtimes, expired SSL certificates on the merchant's domain, or invalid WooCommerce REST API configurations.
9. Intellectual Property & Codebase Integrity
The SuspireX Vue SPA, the Merchant App Dashboard, our proprietary API controllers, and all inline brand SVG assets are the exclusive property of SuspireX. Reverse engineering, decompiling, or attempting to scrape our wholesale cost matrices for competitive analysis will result in immediate IP blocking and legal pursuit.
10. Limitation of Fulfillment Liability
Under no circumstances shall SuspireX be liable for indirect, incidental, or consequential damages arising from global supply chain disruptions, acts of God, port strikes, or localized courier failures. Our maximum aggregate liability to you for any single fulfillment error shall not exceed the wholesale DDP cost of the specific disputed order.
11. Governing Law & Dispute Resolution
These terms shall be governed by the laws of the operating jurisdiction of the SuspireX Master Node. Any dispute arising from ledger discrepancies or API usage shall be resolved through binding arbitration before initiating public litigation.
